The client required technical advisory support on mitigating the differences in the working conditions of operating system of railway equipment in India and Japan. HLS India advised certain changes which were to be done on the equipment based upon Indian working conditions and specifications of Indian Railways and also assisted on passing all critical tests and examinations carried out by RDSO. Due to knowledge and experience working with Indian Railways, HLS India helped the client in getting the approval from RDSO for supplying to Indian Railways.
The client required a comprehensive Audit service to offer a broader, more holistic view of the business and should not be merely a compliance driven approach without insights into business strategies and performance issues. HLS India deployed a multidisciplinary industry specialist team to focus on business, compliance and accounting issues of the client which helped in re-alignment of strategic goals of the client and improvement in financial reporting processes and designing and implementing effective controls.
The client required to identify key risks and controls and simplify the compliance requirements of internal financial control (IFC) commensurate with the size of the Company. HLS India helped the client in revised the IFC testing plan, designed a new way of documenting controls and advised the key controls relevant to the size of the company. This resulted in eliminating the significant deficiencies and material weaknesses for year two in testing of IFC and reduced time and cost of IFC documentation.
The client required an effective and structured Monthly Management Reporting System for local management and parent company in Japan to address critical business and financial issues and timely decision making. HLS India helped in establishing processes and systems of budgeting, forecasting and reporting, designed and implemented maker-checker controls for accuracy in monthly reporting which benefitted the client in their planning, forecasting and reporting activities. We turned data and information into insights for the management to be more focused and help them with more effective and timely decision making.
The client required a second opinion to review the correctness of the significant amount of monthly tax outgo on salary of Japanese expatriates. HLS India was engaged to review monthly and annual tax computations of expatriates and identified opportunities for corrections and legitimate tax exemptions available on expatriate salaries. The client got benefitted as we processed significant amount of tax re-fund claim on expatriate salaries for the past 03 years and achieved savings on expatriates’ salary cost.
The client’s application before the foreign exchange authority in India to set-up liaison office in India was not adequate to address the concerns and risk parameters of the regulator in India and hence, there was significant delay in getting approval to set-up business in India. HLS India deployed multidisciplinary tax, regulatory and industry specialist team to focus on regulatory, compliance and business activities of client. We re-drafted an application for re-submission before the regulatory authority in an unambiguous manner to communicate and resolve the concerns of the regulator with greater transparency. The client got benefit in terms of receiving the approval from the regulatory authority within records time of 3 weeks.

Ms. Jyoti is a Law Graduate and Fellow Member of Institute of Company Secretaries of India (ICSI) and worked for Maruti Suzuki and Casio in India before co-founding HLS India in 2012. She leads firm’s M&A Tax & Regulatory practice and specializes in Regulatory services. She is also responsible for operations and human resource management of the firm.
Ms. Jyoti has more than 12 years of experience in providing regulatory support services in areas related to corporate laws, labour laws, industrial law and exchange control regulations alongwith business advisory services on structuring of inbound / outbound investments, corporate structuring and re-structuring by way of Mergers, Acquisitions, JVs and other business transactions for scores of multinational corporates in India in the sectors related to Infrastructure, IT and ITeS, FMCG, Chemical, Retail, Real Estate, Automobile, Textile Industry and Indian Railways.
Ms. Jyoti maintains strong but independent relationship with the key officials of various regulators in India. She is an independent board member of some of the Japanese and Taiwan based companies in India.
Manjul Agrawal earned his B.S. degree in computer engineering technology from the University of Houston, Texas. Originally from India, Mr. Agrawal has been living and working in Japan since 2001. In addition to the entrepreneurial experience gained from starting his own trading and consulting company in India, he also developed technical expertise in a variety of industries. During his time at Broadcom Corporation, Mr. Agrawal gained valuable large account management experience in the areas of technology selling and product marketing. Mr. Agrawal joined the HLS Global Tokyo office in January 2015, and established the Global Advisory Services division. In his capacity as India Director, he is focused on driving business growth for our India practice. He is also responsible for global digital marketing initiatives for the firm. Outside of the office, Mr. Agrawal spends his time running around his two beautiful daughters and is a self-proclaimed movie buff. He also enjoys watching all sports and playing golf.
Mr. Manu is a Fellow Member of the Institute of Chartered Accountants of India (ICAI) and worked for KPMG before co-founding HLS India in 2012. He is responsible for service delivery, strategic growth initiatives and its implementation besides managing the firm’s daily business.
Mr. Manu has more than 12 years of experience in providing India entry advisory, audit, valuation, due-diligence, risk consulting and international taxation services to multinational corporates in India in the sectors related to Automotive and Industrial products, Infrastructure, IT and ITeS, Financial Services, FMCG, Chemical, Retail, Real Estate, Indian Railways, Electronic products and Healthcare products.
Mr. Manu is an independent board member of some UK and Taiwan based companies in India. He has played professional cricket at school and university level and still enjoys it during his leisure time.

Mr. Tokeshi graduated from the University of Washington with B.A. degree in business administration in 1994 and joined the Los Angeles office of Hotta Liesenberg Saito LLP (HLS) in the following year. Over the next several years, he provided services to clients in the areas of accounting, audit, tax, management advisory, and accounting systems. When HLS made the decision to open its Tokyo office, Mr. Tokeshi was the natural choice to become the director of operations. He started several service lines including global advisory service and was also actively involved with expanding HLS to India. Currently, he has been concentrating in global expansion services for Japanese multinational companies and Japan entry service for foreign multinational companies. Outside of the office, Mr. Tokeshi enjoys all sports, especially camping, sailing, and playing golf.
Mr. Srivastava has an educational background in science, engineering and law, and retired after 38 years of service as Senior Section Research Engineer from Signal and Telecom Directorate of Research Design and Standards Organization (RDSO), a research arm of the Indian Railways based in Lucknow, India.
Mr. Srivastava is working as Director with HLS India since 2012 and helping Indian and multinational railway companies in fulfilling the technical requirements, supporting vendor selection process and setting up business infrastructure as required by Indian Railways.
Mr. Srivastava has more than 40 years of experience in several kinds of technical testing of railway products, development of signaling and telecommunication systems, vendor development and approval process of RDSO. He has built excellent relationships with various Heads of Departments, Senior officials and other colleagues from RDSO, Zonal Railways, Production units and Railway Board under Indian Railways.
